Terms of Sale Agreement

Formulage Distribution (Pty) Ltd (registered in South Africa) provides these Terms of Sale to govern all purchases made through our website.

1. Definitions

• "Company" refers to Formulage Distribution (Pty) Ltd, a private company incorporated under the laws of the Republic of South Africa.
• "Customer" refers to any person or entity purchasing products from the Company’s online store.
• "Products" refers to skincare items offered for sale by the Company.
• "Website" refers to the Company’s official e-commerce platform.

2. Scope of Agreement

• These Terms govern all sales of Products through the Website.
• By placing an order, the Customer acknowledges and agrees to be bound by these Terms, together with the Company’s Privacy Policy and any additional conditions communicated at checkout.

3. Product Information

• The Company endeavours to ensure that all product descriptions, images, and specifications are accurate.
• The Company reserves the right to amend product details, discontinue Products, or update formulations without prior notice.

4. Pricing and Payment

• All prices are quoted in South African Rand (ZAR) and include Value Added Tax (VAT) where applicable.
• Payment must be made in full at the time of order via approved payment methods.
• The Company reserves the right to adjust prices at any time. Confirmed orders will not be affected by subsequent changes.

5. Order Acceptance

• Orders constitute an offer to purchase Products.
• Acceptance occurs only upon issuance of an order confirmation by the Company.
• The Company reserves the right to refuse or cancel orders in cases of stock unavailability, payment irregularities, or suspected fraudulent activity.

6. Authorized Sellers and Training

• Formulage Distribution (Pty) Ltd ensures that all authorized distributors, representatives, and resellers of its Products receive appropriate training provided by the Company.
• This training is designed to ensure accurate product knowledge, correct usage guidance, and compliance with the Company’s quality standards.
• Customers are advised to purchase Products only from the Company’s official Website or from authorized sellers who have been trained and approved by Formulage Distribution (Pty) Ltd.
• The Company shall not be liable for any representations, advice, or product handling provided by unauthorized sellers.

7. Delivery

• Delivery is available within South Africa and selected international destinations.
• Estimated delivery times are provided for guidance only and are not guaranteed.
• Risk of loss or damage passes to the Customer upon delivery. Title to Products passes upon receipt of full payment.

7A. Shipping Terms

• Processing Time: Orders are processed within 3 business days after payment confirmation. Processing times may vary during peak seasons or promotional periods.
• Shipping Methods: The Company offers standard, expedited, and international shipping options. Available methods and costs will be displayed at checkout.
• Shipping Costs: Fees are calculated based on order weight, destination, and selected shipping method. Customers are responsible for any applicable customs duties, taxes, or import fees.
• Tracking: A tracking number will be provided once the order has been dispatched. Customers can monitor their shipment via the carrier’s website.
• Delays: The Company is not liable for delays caused by carriers, customs, weather, or other circumstances beyond its control. Customers will be notified promptly if significant delays occur.
• Risk of Loss: All products are shipped FOB (Free on Board) from the Company’s warehouse. Risk of loss and title for products pass to the Customer upon delivery to the carrier.

8. Returns and Refunds

• Returns are permitted within 7 (seven) days of delivery, provided Products are unopened, unused, and in their original packaging.
• Refunds will be processed after inspection of returned Products.
• For hygiene reasons, opened or used Products cannot be returned unless defective.
• Defective Products will be replaced or refunded in accordance with the Consumer Protection Act 68 of 2008.

9. Warranties and Limitation of Liability

• Products are supplied for cosmetic use only. No medical claims are made or implied.
• The Company shall not be liable for allergic reactions, misuse, or failure to follow usage instructions. Customers are advised to conduct patch testing prior to use.
• The Company’s liability is limited to the purchase price of the Product concerned.

10. Intellectual Property

• All trademarks, logos, product names, and content appearing on the Website are the property of Formulage Distribution (Pty) Ltd.
• No reproduction, distribution, or use is permitted without prior written consent.

11. Governing Law and Jurisdiction

• These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.
• Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
